Vero Wine Co LLC ("Vero," "we," "us," or "our") is a premier provider of exceptional non-alcoholic wines and related sophisticated beverage experiences. Operating through our Shopify e-commerce platform and wholesale distribution network, we maintain the highest standards of quality and service, equivalent to the world's most distinguished wine houses.

These Terms and Conditions ("Terms") govern your access to and use of our website (verowineco.com and any affiliated sites), mobile applications (if any), services, and all purchases of our products, whether as a retail consumer through our e-commerce store or as a wholesaler.

By accessing our website, placing an order, creating an account, or engaging in any transaction with Vero Wine Co LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy and any other incorporated policies. If you do not agree, you must immediately cease all use of our services and refrain from purchasing our products.

1. Eligibility and Age Requirements

You represent and warrant that you are at least 21 years of age (or the legal age of majority in your jurisdiction, whichever is greater) to access our website or purchase products from Vero Wine Co LLC. For wholesale accounts, you further represent that you are a duly authorized business entity or representative operating in full compliance with all applicable federal, state, and local laws and regulations.

Although our products are carefully crafted non-alcoholic beverages containing less than 0.5% alcohol by volume (or labeled as 0.0% ABV where applicable), and are produced using advanced dealcoholization techniques, we emphasize that they are not traditional alcoholic wines. Consumption, handling, storage, and use of our products are entirely at your own risk. Vero Wine Co LLC assumes no responsibility for any perceived or actual effects, sensitivities, or outcomes related to trace alcohol content or any other aspect of our products.

2. Product Descriptions, Representations, and Comprehensive Disclaimers

Vero Wine Co LLC curates and offers premium non-alcoholic wines with the same dedication to excellence found in leading global wine estates valued at over $100 million. All product descriptions, images, tasting notes, nutritional information, ingredient lists, and specifications appearing on our website, in marketing materials, or in communications are provided for general informational purposes only. They are subject to change without notice and do not constitute warranties of any kind.

Critical Product Disclaimers – Full Release and Protection for Vero Wine Co LLC:

  • Our products are non-alcoholic beverages, not wine in the traditional alcoholic sense. They contain less than 0.5% alcohol by volume (or 0.0% as specified on labeling). Trace amounts of alcohol, if any, may naturally occur or result from production processes. We make no representation or warranty whatsoever that our products are completely alcohol-free, suitable for all medical conditions, dietary restrictions, religious observances, sobriety programs, or any other specific use.
  • No Warranties Provided: All products are sold strictly "AS IS" and "WITH ALL FAULTS". Vero Wine Co LLC expressly disclaims any and all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, quality, accuracy, or that the products will meet your expectations, replicate alcoholic wine experiences, or remain stable under all storage conditions.
  • Alcohol Content and Related Risks: Vero Wine Co LLC shall have no liability whatsoever for any claims, damages, losses, or injuries arising from or related to the actual or perceived alcohol content of our products. This includes, without limitation, any allegations of misrepresentation, intoxication (real or perceived), impaired judgment, motor vehicle accidents, workplace incidents, violations of court orders, probation terms, sobriety requirements, or any other alcohol-related harm.
  • Health, Safety, and Food-Related Claims: We maintain stringent quality controls; however, Vero Wine Co LLC bears no responsibility for any allergic reactions, foodborne illness, contamination, spoilage, batch variations, or any adverse health effects resulting from the consumption, storage, handling, or use of our products. This includes but is not limited to issues involving sulfites (naturally occurring in grapes), other allergens, or any perceived "bad batch."
  • Wholesale-Specific Protections: Wholesalers purchasing from Vero Wine Co LLC assume full and exclusive responsibility for compliance with all labeling, distribution, resale, storage, and regulatory requirements in their jurisdictions. We disclaim any liability for downstream sales, end-consumer claims, regulatory violations, or any consequences arising from wholesaler actions or omissions.

Vero Wine Co LLC shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to personal injury, wrongful death, property damage, economic loss, loss of business, or reputational harm, even if we have been advised of the possibility of such damages.

3. Purchases, Pricing, Payment, and Orders

Retail (E-commerce via Shopify): All orders are subject to our acceptance and product availability. Prices are quoted in U.S. Dollars and do not include shipping, handling, taxes, duties, or applicable fees, which are solely your responsibility. We reserve the absolute right to refuse, modify, or cancel any order at our sole discretion, including due to pricing errors, suspected fraud, or regulatory concerns.

Wholesale Accounts: Wholesale purchases are governed by these Terms and any separate account agreements. Wholesalers must maintain all necessary licenses and comply with applicable laws. Products are provided on an "as is" basis. Vero Wine Co LLC assumes no liability for wholesaler resale activities, storage conditions, or any resulting claims.

Payments are processed through secure third-party providers. Vero Wine Co LLC is not responsible for any issues arising from third-party payment processors. All sales are final except as expressly provided in our limited Return Policy.

4. Shipping, Delivery, Risk of Loss, and Storage

Shipping and delivery are performed by independent third-party carriers. Title to the products and all risk of loss pass to you upon delivery to the carrier. Vero Wine Co LLC is not liable for any delays, damage, loss, or spoilage occurring during transit or after delivery. For temperature-sensitive products, you are solely responsible for proper storage and handling upon receipt. Any degradation, spoilage, or quality issues post-delivery are your responsibility.

International orders may involve additional customs duties, taxes, and regulatory requirements, all of which are your sole obligation. We disclaim liability for customs delays, seizures, or rejections.

5. Returns, Refunds, and Cancellations

Due to the perishable nature of beverages, our return policy is extremely limited. Returns are accepted only for products that arrive with visible external damage or packaging defects, and only within 7 days of receipt, subject to our inspection and approval at our sole discretion. We do not accept returns for subjective reasons such as taste, aroma, perceived quality, batch variations, or any health-related claims.

No refunds or replacements will be issued for claims involving alcohol content, alleged intoxication effects, food sickness, allergic reactions, or any other consumption-related issues. For wholesale orders, returns are subject to separate negotiated terms and our prior written approval.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERO WINE CO LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUPPLIERS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES OF ANY KIND, including but not limited to damages for personal injury, death, property damage, loss of use, loss of profits, business interruption, regulatory fines, or any other economic or non-economic loss arising out of or in any way connected with:

  • The purchase, sale, transportation, storage, consumption, or use (or misuse) of our products;
  • Any claims related to alcohol content, perceived intoxication, motor vehicle accidents, or sobriety violations;
  • Any foodborne illness, allergic reaction, contamination, or "bad batch" allegations;
  • Use of our website or services;
  • Any third-party actions or omissions.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU, FOR ANY AND ALL CLAIMS, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO VERO WINE CO LLC FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM. This limitation applies regardless of the legal theory (contract, tort, strict liability, negligence, or otherwise) and even if any remedy fails of its essential purpose.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vero Wine Co LLC, its members, managers, officers, directors, employees, affiliates, suppliers, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your purchase, use, consumption, storage, handling, or resale of our products;
  • Any violation of these Terms or applicable laws;
  • Any claims brought by third parties (including end consumers for wholesale purchasers) alleging alcohol-related harm, food sickness, product defects, motor vehicle accidents, or any other injury or damage connected to our products;
  • Any regulatory non-compliance in your distribution or resale activities.

This indemnification obligation survives any termination of these Terms or your relationship with Vero Wine Co LLC.

8. Intellectual Property

All content, trademarks (including "Vero Wine Co" and associated logos), product formulations (to the extent protectable), images, text, and other materials on our platform are the exclusive property of Vero Wine Co LLC or its licensors. Any unauthorized use is strictly prohibited.

9. Governing Law, Venue, and Dispute Resolution

These Terms shall be governed exclusively by the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising from or related to these Terms or your dealings with Vero Wine Co LLC shall be resolved exclusively in the state or federal courts located in Mecklenburg County, Charlotte, North Carolina. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objections thereto.

You agree that disputes will be resolved on an individual basis only, and you waive any right to participate in a class action, consolidated proceeding, or representative action. To the extent permitted by law, you also waive any right to a jury trial.

10. Changes to Terms; Severability; Waiver

We reserve the right to modify these Terms at any time. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
